These terms of sale regulating the sale and purchasing of Goods shall be governed by and interpreted in accordance with the applicable Maltese Law.

3. Order Process
The advertising of Goods on our Website constitutes an “invitation to treat”; and your order for Goods constitutes a contractual offer. No agreement will come into force between you and us unless and until we accept your order in accordance with the procedure detailed below.
We shall accept orders for Goods made by customers subject to stock availability. We warrant that we shall endeavour to promptly notify you in the event that any product is out of stock as a result of high demand or any other cause.
In order to enter into an agreement to purchase Goods from us, you will need to take the following steps:
- you must choose the Goods you wish to purchase and then simply proceed the checkout;
- you must then enter the payment details requested by our website.
- we will then process your payment via bank transfer or cash on delivery (our service provider);
- we will then send you an automated order confirmation containing a summary of the Goods purchased by yourself, to the email address you provided in the process of entering the data, at which point your order will be completed and becomes a binding agreement.

4. Price and Payment
Prices for Goods are quoted on our Website. The price is inclusive of all applicable charges & Vat. We will verify prices as part of our sale procedures so that a product's correct price will be stated when you pay for the Goods. Delivery is free of charge over the certain amount mentioned on the website.

Payment must be made upon the submission of your order or once goods are delivered.
Access and use of the Website is reserved to those persons who are capable of contracting in terms of Law. You hereby declare and warrant that:-
- you are a ‘consumer’ in terms of the Consumer Affairs Act (Chap. 378 of the Laws of Malta);
- you are legally capable of entering into binding contracts, and you have full authority, power and capacity to agree to these terms of sale;

- you will be able to accept delivery of the products;
6. Delivery Policy 6. Eligibility
Upon payment, you will receive a confirmation email from us containing a summary of your order. Deliveries are usually dispatched within 24 hours of order or as per your instructions / requirements.
We will also arrange for the products to be delivered to the address for delivery indicated in your order. We will use reasonable endeavours to deliver products on time.
7. Risk and Ownership
The products will be at your risk from the time of delivery. Ownership of the products will only pass to you upon delivery of the products.
We will usually refund any money received from you using the same method originally used by you to pay for your purchase. We will process such refunds as soon as possible and, in any event, within 15 days of receipt of your valid notice of cancellation. On returning the goods, you will be responsible to pay any postage charges until the item reaches us. We will only accept goods which are unopened /undamaged bottles.

Spades is the operator of spades.com.mt. All trademarks, product names and company names or logos sited herein are the property of their respective owners. No permission is given by us in respect of the use of any such brand names, photographs, product names or titles or copyrights and such use may constitute an infringement of the owners’ rights.

12. Governing law & Resolution of Disputes
You declare that you are aware of and accepts that www.spades.com.mt is a Website hosted from Malta and as a result any dispute that could arise between you as the customer and us, shall be governed by and construed in all respects in accordance with the laws of Malta.
We shall use our best endeavours to settle amicably any disputes between us in connection with or arising out of the existence, validity, construction, performance and termination of any binding provision in thess terms of sale.
Any question or conflict which may arise concerning the construction meaning or effect of this agreement or concerning the rights and liabilities of the parties hereunder or any other matter arising out of or in connection with this agreement or any dispute which fails to be resolved amicably within a period of 30 days shall be referred to a single arbitrator in Malta to be agreed between the parties. Failing such agreement within 30 days of the request by one party to the other that a matter be referred to arbitration in accordance with this Term such reference shall be to an arbitrator appointed by the Malta Arbitration Centre. The decision of such arbitrator shall be final and binding upon the parties. Any reference under this Clause shall be deemed to be a reference to arbitration within the meaning of Part IV of the Arbitration Act (Chapter 387 of the Laws of Malta).
